Welcome to https://liftoff.meme, a user interface (the "Interface" or "App") hosted on this website and provided by NYASB LLC ("we", "our", or "us"). The Interface offers access to a decentralized protocol on various public blockchains, such as Ethereum, allowing users to trade compatible digital assets ("the Liftoff Meme protocol" or the "Protocol"). The Interface is one of the methods to access the Protocol, but not the only one. To use the Interface, you will need non-custodial wallet software to interact with public blockchains. Your relationship with that non-custodial wallet provider is governed by their terms of service, not by this Terms of Service Agreement (the "Agreement").

This Agreement outlines the terms and conditions under which you may access and use the Interface. It is important that you read this Agreement carefully. By accessing or using the Interface, you confirm that you have read, understood, and agree to be bound by this Agreement in its entirety. If you do not agree, you are not permitted to access or use the Interface.

NOTICE:

Please carefully read this Agreement as it governs your use of the Interface. This Agreement contains important information, including a binding arbitration provision and a class action waiver, both of which impact your rights concerning dispute resolution. The Interface is only available to you if you fully agree with these terms.

Modification of this Agreement

We reserve the right to modify this Agreement at our discretion. If any changes are made, we will notify you by updating the date at the top of the Agreement and by keeping the latest version of the Agreement available on Liftoff Meme's terms of services page. All modifications will take effect when posted, and continued use of the Interface will be considered as your acceptance of those changes. If you disagree with any modifications, you must stop using and accessing the Interface immediately.

Eligibility

To access or use the Interface, you must have the legal capacity to enter into a binding contract with us. You represent that you are at least the age of majority in your jurisdiction (e.g., 18 years old in the United States) and that you have the full legal right, power, and authority to agree to and abide by the terms and conditions of this Agreement on behalf of yourself and any company or legal entity you represent. Additionally, you represent that you are not subject to any economic or trade sanctions administered by any governmental authority or listed on any restricted party lists (such as those maintained by the Office of Foreign Assets Control of the U.S. Department of the Treasury). Moreover, you confirm that your use of the Interface will fully comply with all applicable laws and regulations and that you will not use the Interface to conduct, promote, or facilitate any illegal activity.

Proprietary Rights

We own all intellectual property rights in the Interface and its contents, including but not limited to software, text, images, trademarks, service marks, copyrights, patents, and designs. These intellectual property rights are protected under applicable copyright licenses and our Trademark Guidelines.

Additional Rights

We reserve the following rights, which do not impose obligations on us: (a) to modify, substitute, eliminate, or add to the Interface with or without notice; (b) to review, modify, filter, disable, delete, and remove any content or information from the Interface; and (c) to cooperate with any law enforcement, court, government investigation, or third-party request or directive that requires us to disclose any content or information you provide.

Privacy

When you use the Interface, the only information we collect is your blockchain wallet address, completed transaction hashes, and token names and symbols. We do not collect any personal information (e.g., your name or other identifiable details). However, we work with third-party service providers who may receive or independently collect your personal information from publicly available sources. We do not control how these third parties handle your data, so you should review their privacy policies to understand how they manage your personal information. By using the Interface, you consent to our data practices and the data practices of our service providers.

We use the information we collect to detect, prevent, and mitigate financial crimes and other illicit activities on the Interface. For these purposes, we may share this information with blockchain analytics providers. We only share information with these service providers to help maintain the safety, security, and integrity of the Interface.

Please be aware that when using the Interface, you are interacting with Ethereum or another public blockchain, which inherently provides transparency into your transactions. Liftoff Meme does not control or take responsibility for any information you make public on blockchains by using the Interface.

Prohibited Activities

You agree not to engage in, or attempt to engage in, any of the following prohibited activities when using the Interface:

  • Intellectual Property Infringement: Activities that infringe upon or violate any copyright, trademark, service mark, patent, right of publicity, privacy rights, or other proprietary rights.

  • Cyberattack: Activities that aim to disrupt, compromise, or interfere with the security, integrity, or proper functioning of any computer, server, network, or information system, including but not limited to the deployment of viruses or denial of service attacks.

  • Fraud and Misrepresentation: Activities that involve fraud or deception, including providing false, inaccurate, or misleading information to unlawfully obtain another's property.

  • Market Manipulation: Activities that violate any law, rule, or regulation related to market integrity, including manipulative tactics such as "rug pulls," pumping and dumping, and wash trading.

  • Securities and Derivatives Violations: Activities that breach any law, rule, or regulation concerning securities or derivatives trading, including the unregistered offering of securities and offering leveraged or margined commodity products to retail customers in the U.S.

  • Any Other Unlawful Conduct: Activities that violate any applicable law, rule, or regulation, including those imposed by U.S. law.

Not Registered with the SEC or Any Other Agency

We are not registered with the U.S. Securities and Exchange Commission as a national securities exchange or in any other capacity.

Non-Solicitation; No Investment Advice

You agree and acknowledge that: (a) all trades submitted through the Interface are considered unsolicited, meaning they are initiated solely by you; (b) you have not received any investment advice from us in connection with any trades.

Non-Custodial and No Fiduciary Duties

The Interface is a purely non-custodial application, meaning you are fully responsible for the custody of the cryptographic private keys to your digital asset wallets. This Agreement does not create or impose any fiduciary duties on us. To the fullest extent permitted by law, you agree that we owe no fiduciary duties or liabilities to you or any other party, and to the extent that any such duties or liabilities exist, they are hereby irrevocably disclaimed, waived, and eliminated. You further agree that the only duties and obligations we owe you are those expressly outlined in this Agreement.

Compliance and Tax Obligations

The Interface may not be available or appropriate for use in your jurisdiction. By using the Interface, you agree that you are solely responsible for complying with all laws and regulations that may apply to you. Specifically, your use of the Interface or the Protocol may result in various tax obligations, such as income or capital gains tax, value-added tax, goods and services tax, or sales tax, depending on your jurisdiction. It is your responsibility to determine whether taxes apply to any transactions you initiate or receive and to report and/or remit the correct tax to the appropriate authority.

Assumption of Risk

By accessing and using the Interface, you confirm that you are financially and technically capable of understanding the inherent risks associated with using cryptographic and blockchain-based systems. You acknowledge that you have sufficient knowledge of the usage and intricacies of digital assets like ether (ETH), stablecoins, and other digital tokens (e.g., ERC-20 tokens).

You understand that the markets for these digital assets are still developing and can be highly volatile due to various risk factors, including adoption, speculation, technology, security, and regulation. You accept the risk that you may trade tokens that are fake, misleading, or otherwise problematic. So-called stablecoins may not always maintain their value as expected, may not be fully or adequately collateralized, and could be subject to panics or runs.

Furthermore, you understand that smart contract transactions execute and settle automatically and that blockchain-based transactions are irreversible once confirmed. You acknowledge that the cost and speed of transacting with blockchain-based systems like Ethereum can fluctuate significantly. You also accept the risks associated with using Expert Modes, which may expose you to significant price slippage and higher costs.

In summary, you acknowledge that we are not responsible for any of these risks or variables, do not own or control the Protocol, and cannot be held liable for any losses you experience while using the Interface. Therefore, you agree to assume full responsibility for all risks associated with accessing and using the Interface to interact with the Protocol.
